Terms of Service

1. The agreement

Companion Pro is provided by RGL Loans Pty Ltd (ABN 32 611 969 138). It is business software for licensed Australian real estate agencies. The customer is the agency: agencies subscribe to Companion Pro, and access for individual users (agents, admins and staff) is provisioned by the agency's administrator. By signing in to the platform or the iOS app you agree to these terms; your agency's subscription agreement with us governs commercial matters such as pricing and invoicing.

2. The iOS app and billing

• The Companion Pro iOS app is free to download and contains no advertising and no in-app purchases.
• The app cannot be used without an account provisioned by a subscribing agency — there is no public sign-up.
• Subscriptions are agreed and invoiced directly between Companion Pro and the agency, outside the app. Nothing is bought, sold or unlocked inside the app.

3. Accounts and acceptable use

• Keep your login credentials secure and do not share your account with anyone else. You are responsible for activity under your account.
• Only enter information into the platform that you are lawfully entitled to hold and use, and handle personal information of vendors, buyers and other parties in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy.
• Do not attempt to access data belonging to another agency, probe or disrupt the service, or use the platform for any unlawful purpose.
• Your agency's administrator controls which features and pages each user can access, and may suspend or remove accounts at any time.

4. Your professional responsibilities

Companion Pro is a record-keeping and workflow tool. It does not provide legal, financial, accounting or compliance advice, and using it does not transfer any professional obligation from you or your agency to us. In particular:

• Trust accounting: features that assist with trust-account receipting, disbursements, transfers, reconciliation and reports are aids to record keeping. The licensee remains solely responsible for compliance with all applicable trust-account legislation, including the Agents Financial Administration Act 2014 (Qld) and equivalent legislation in other states.
• Documents and forms: contracts, forms and other documents generated by the platform are prepared from information your agency enters. You are responsible for reviewing every document for accuracy and legal sufficiency before use.
• AI-assisted features: where the platform uses AI to read or pre-fill information from documents, the output is a starting point that must be checked by a person before it is relied on.

5. Data

Your agency owns the business data it enters into the platform. We handle personal information as described in our Privacy Policy. On termination of an agency's subscription we will, on request, provide the agency with an export of its data, and thereafter retain data only as required by law.

6. Availability and changes

We aim to keep the platform available at all times, but do not guarantee uninterrupted access. We may update, add or remove features as the platform develops. If we make a change that materially reduces the platform's core functionality, agencies will be notified in advance.

7. Intellectual property

The platform, the app, and all associated software, designs and branding are our intellectual property (or that of our licensors). Your agency's subscription grants its users a non-exclusive, non-transferable right to use the platform for the agency's ordinary business while the subscription is active.

8. Liability

To the maximum extent permitted by law (including the Australian Consumer Law, whose applicable guarantees are not excluded), our total liability arising out of or in connection with the platform is limited to the amount your agency paid for the subscription in the twelve months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, loss of profit, or loss of data caused by events outside our reasonable control.

9. Governing law

These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Queensland.
